The steps
- Set up the data room structure — Folders: Corporate, Financial, Legal, IP, Cap Table, Customers, Product, Team, Market. Use the standard structure investors expect. Don't reinvent the wheel.
- Compile financial section — Include: 3 years of audited (or reviewed) financial statements, monthly P&L for last 24 months, cash flow projections, unit economics breakdown, and the financial model (sometimes separately distributed). Numbers must reconcile across documents.
- Compile legal section — Include: incorporation docs, articles, bylaws, board minutes, IP assignments, key customer contracts, vendor MSAs, employment agreements (anonymized if not for the person), and any litigation. Legal review every document before adding.
- Compile cap table and equity section — Pull cap table from source of truth (Carta or equivalent). Include: current cap table, fully diluted, equity history (every grant, every issuance), option pool, vesting schedules, and waterfall analysis. Investors verify cap table independently.
- Compile customer and product metrics — Include: revenue by customer (anonymized), churn cohorts, NRR, gross margin, growth rates, top 10 customers by ACV, customer concentration. Product: roadmap, key tech architecture, security posture (SOC 2 if available).
- Set permissions and tracking — Configure: investor access, watermarking, view-only (no download initially), engagement analytics. Track who views what — useful for fundraise pacing.
- QA the data room with a friendly investor — Before sending to lead investors, have a friendly investor or board member review. Ask: what's missing, what's confusing, what would you push back on? Iterate before exposure.
- Maintain freshness during the round — Update monthly during active fundraise. Old data rooms signal slow execution. New investors should always see current numbers, not stale ones.
If it goes wrong

Audit cap table 30 days before fundraise opens. Resolve all issues with counsel. Cap table errors delay or kill rounds.

Monthly update cadence is mandatory during active rounds. Stale data rooms signal poor execution.
